Company secretarial

Our team assists many companies of all sizes with their company secretarial requirements.

From simple filings such as annual returns and forms to record appointments or resignations of directors, to more complex procedures involving directors and shareholders resolutions and minutes of meetings, we can provide all the appropriate documents as well as advice on the steps which have to be taken.

Companies often run into difficulties through not keeping their statutory books (the register of members, register of directors, etc) up to date, or through not filing required forms at Companies House in time. This can lead to fines or even to the company being struck off (which means that its assets become the property of the Crown).

Often these problems come to light when the company is being sold – trying to reconstruct incomplete records is a time consuming distraction at such a time. If the problems are serious enough it can have an impact on the price which the buyer is prepared to pay for the company, or scupper the sale altogether. Being able to present a buyer with a company which has all its records in good order, on the other hand, gives the buyer confidence that he is buying a well run company.

So while it might be tempting to see company secretarial issues as merely more boring admin which can be put to one side, the consequences of doing so can be very damaging.
